Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ConstruxionPro platform, website, iOS and Android mobile applications, and related services (collectively, the "Service") provided by ConstruxionPro, LLC ("ConstruxionPro," "we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By accessing or using the Service, you confirm that you are at least 18 years old, have the legal authority to enter into these Terms, and — if using the Service on behalf of a company or organization — that you have the authority to bind that entity to these Terms. The entity you represent agrees to be bound by these Terms.

2. Description of Service

ConstruxionPro is a cloud-based construction management platform that provides tools for job tracking, crew and equipment scheduling, locate and permit management, billing and invoicing, and related operational workflows. We may update, modify, or discontinue features of the Service at any time with reasonable notice.

3. Account Registration & Responsibilities

To use the Service, you must create an account and provide accurate, complete information. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Promptly notifying us of any unauthorized access or security breach
• Ensuring that all users you invite to your organization's account comply with these Terms

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent or harmful activity.

4. Subscription & Billing

The Service is offered on a subscription basis. By subscribing, you agree to the following:

• Free Trial: New accounts may receive a 14-day free trial. A valid payment method is required to start the trial. You will not be charged until the trial period ends. You may cancel at any time during the trial to avoid being charged.
• Billing Cycle: Subscriptions are billed monthly or annually, depending on the plan you select. Payments are due at the beginning of each billing cycle.
• Price Changes: We may adjust pricing with at least 30 days' advance notice. Price changes take effect at the start of your next billing cycle.
• Refunds: Subscription fees are non-refundable except as required by applicable law.
• Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period, and you will retain access until that date.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:

• Use the Service for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to any part of the Service, other accounts, or computer systems
• Interfere with or disrupt the integrity or performance of the Service
• Upload or transmit viruses, malware, or other harmful code
• Reverse engineer, decompile, or disassemble any part of the Service
• Resell, sublicense, or redistribute the Service without our written consent
• Use the Service to store or transmit content that is defamatory, obscene, or otherwise objectionable

6. Intellectual Property

The Service, including its design, features, code, documentation, and branding, is owned by ConstruxionPro and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during your active subscription.

You retain ownership of all data and content you upload to the Service ("Your Content"). By uploading content, you grant us a limited license to host, store, and process Your Content solely to provide the Service to you.

7. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the data practices described in the Privacy Policy.

8. Disclaimers & Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONSTRUXIONPRO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Termination

Either party may terminate this agreement at any time. You may cancel your account through the Service or by contacting us. We may suspend or terminate your access if you violate these Terms or if we determine that your use poses a risk to the Service or other users.

Upon termination, your right to use the Service ceases immediately. We will retain your data for up to 90 days to allow for data export, after which it will be deleted in accordance with our Privacy Policy.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Texas, and you consent to the personal jurisdiction of such courts.

11. Changes to These Terms

We may revise these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page, updating the "Last updated" date, and — for significant changes — sending notice to the email address associated with your account. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
